1. Acceptance of Terms

Please read these Terms of Service ("Terms") carefully before using the Zyphra website and web application (collectively, the "Service") operated by Alex Kem ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Zyphra provides a cloud-based AI video generation platform that enables users to create, edit, and publish video content using artificial intelligence. The Service includes the web application, AI generation engine, content tools, and related documentation.

3. Account Registration & Age Restriction

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old and that all information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately upon becoming aware of any unauthorized use of your account.

4. Subscription & Billing

Auto-Renewal

Paid plans are billed in advance on a recurring basis (monthly or annually). Subscriptions automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the end of the current period.

Pricing & Currency

All fees are in your selected currency (USD, EUR, GBP, or CHF). We reserve the right to change pricing with 30 days' written notice.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to premium features until the end of that period.

Refunds

Refunds are subject to our Refund Policy.

5. Content Ownership & License

You retain full ownership of all videos and content you create using Zyphra. By posting, uploading, or submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, store, process, and display your content solely in connection with providing the Service. You are responsible for ensuring your content does not infringe on third-party rights.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use. Prohibited conduct includes:

•Violating any applicable laws or regulations
•Creating content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
•Generating deepfake content intended to deceive, defraud, or harm others
•Transmitting malware, viruses, or harmful code
•Attempting to gain unauthorized access to other accounts or systems
•Using automated systems (bots, scrapers) to access the Service beyond normal usage
•Interfering with or disrupting the Service or its infrastructure
•Reverse engineering, decompiling, or disassembling the Service
•Reselling access to the Service without authorization

We reserve the right to suspend or terminate accounts that violate this policy.

7. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Alex Kem and its licensors. The Service is protected by copyright, trademark, and other laws of Germany and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Third-Party Services

Our Service may integrate with or rely on third-party services, including cloud storage providers, AI services, analytics providers, and payment processors. By using the Service, you acknowledge that your data may be transferred to and processed by these third-party service providers. We are not responsible for the privacy policies or practices of these third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. AI-generated content may not be perfectly accurate and should be reviewed before use. We do not guarantee the accuracy or completeness of any AI-generated output.

10. Limitation of Liability

IN NO EVENT SHALL ALEX KEM, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Alex Kem and our directors, employees, partners, agents, affiliates, and licensors from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another, including intellectual property rights; or (d) your conduct in connection with the Service.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so through your account settings. We will provide a reasonable period for you to export your data.

13. Privacy & Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with GDPR, CCPA, and other applicable data protection laws. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

14. EU Consumer Rights

If you are an EU consumer, you have the right to withdraw from this contract within 14 days without giving any reason (right of withdrawal). To exercise the right of withdrawal, you must inform us of your decision by a clear statement (e.g., email to support@zyphra.app). 15. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after revisions become effective, you agree to be bound by the updated Terms. If you do not agree, you must stop using the Service.
